You have seen the plot or the house, you have made an offer through the agent, and the reply comes back the same afternoon: "To take it off the market we need a reservation deposit of €3,000 today. Here is the form and our IBAN." You are in another country, the form is in Spanish, and you do not yet know whether the seller has even seen your offer.
The honest answer to "is it safe?" is: it can be, if four things are true before you pay. The person receiving the money is named in the document, the bank account belongs to that person, the document says when and how you get the money back if the seller does not accept, and the property and the seller are who the agent says they are. This guide shows how to check each one, using the contract rules and a clearly identified official consumer arbitration example, and what to do if the money does not come back.
It covers only the first payment, before the arras contract. The arras themselves (a deposit agreement with the seller, for an amount the parties agree) are explained in our guide to the arras contract, and the whole purchase in buying land in Spain.
A real official example, with a clear limit
Madrid consumer arbitration award ARCB 03257.6/2021 was issued on 2 February 2022. It concerned €750 paid on 24 December 2020 to reserve a rental home in Collado Villalba. The consumer said the property did not match the advertisement; the business said the consumer had refused to sign the proposed tenancy. On the documents before it, the panel rejected repayment because it considered the claimant had withdrawn from the rental. Full official award, accessed 2.11.2026.
This was a rental dispute, not a purchase reservation, and it does not create a general rule that buyers lose deposits. It illustrates why the stated reason for withdrawal and the supporting documents matter. For a purchase, establish your own contract's conditions before paying, rather than treating another reservation's outcome as a guarantee.
Reservation, arras, completion: what each one binds
| Reservation (reserva) | Arras contract | Completion deed (escritura) | |
|---|---|---|---|
| When | When you make the offer | Once the seller accepts | Before a notary, at the end |
| Who signs | Whoever undertakes obligations; check whether the agent represents the seller | You and the seller | You and the seller |
| Amount | The agreed amount | The agreed amount; no compulsory statutory 10% | The rest of the price |
| Legal basis | Whatever the document says, under general contract law | The contract; Article 1454 for penitential arras | Civil Code and Mortgage Law |
| What it gives you | The agent passes on your offer and, sometimes, stops marketing the property for some days | Both parties are committed, with consequences if one walks away | Public evidence of sale and delivery within Article 1462 CC |
An agent can merely forward an offer or can act with authority for the owner. The seller's absence from the signature page does not, by itself, prove that the seller is unbound. Authority, acceptance and possible ratification matter. Nor does every agreement need a public deed to exist. Civil Code Articles 1259, 1261, 1262 and 1450, accessed 2.11.2026.
Read the reservation for its actual obligations. Is it a pending offer, a refundable holding payment or an already accepted agreement to sell? Are the property and price agreed? Who promised a refund? General rules on binding contracts, agreed terms and interpretation appear in Articles 1091, 1255 and 1281 CC, accessed 2.11.2026. The heading alone does not determine the answer.
Who holds the money
- The agent, as a deposit holder. The document says the agent keeps the money and hands it to the seller if they accept, or returns it to you if not. Ask for the repayment duty, conditions and deadline to be express.
- The agent, "on account of fees" or with no stated purpose. Avoid. If the document links the sum to the agent's commission, or says nothing, expect a long argument.
- The seller, directly. The document should identify the seller as recipient and explain acceptance, the payment's purpose and who refunds it if the sale does not proceed.
- A neutral third party, such as a notarial deposit or a lawyer's client account. If you agree this arrangement, define release and refund conditions and fees; the account label alone does not prove protection.
A practical check: compare the account holder with the recipient in the document. If they differ, get a written explanation of on whose behalf the payment is collected and who owes the refund. This is a checking method, not a rule prohibiting every third-party account. Liability also depends on the agreement and authority, not just the IBAN.
The three ways it ends
The seller says no
Negotiate a fixed acceptance deadline, a verifiable way of delivering the reply and a full-refund deadline if the offer expires unaccepted. These are proposed contractual protections, not statutory reservation periods. A clause saying only "refundable if the transaction fails" leaves unanswered who decides it has failed, what deductions apply and when payment is due. Civil Code Articles 1091 and 1262, accessed 2.11.2026.
What you want in writing: who accepts, how you receive evidence of acceptance, who repays the whole sum and when.
The seller says yes, then does not sign
First establish whether a contract was formed and who became bound. For agreed penitential deposits (arras penitenciales), Article 1454 CC provides for the buyer to withdraw losing the deposit and the seller to withdraw returning double. Double repayment does not arise from every document headed "reservation". For breach of reciprocal obligations, Article 1124 provides for performance or termination with damages and interest as applicable. Articles 1124 and 1454 CC, accessed 2.11.2026.
If only the agent dealt with you, examine both their authority and their own repayment obligations. Do not assume either an automatic minimum refund or that agent and seller can be sued interchangeably.
You change your mind
Read whether the form provides for a lost holding payment, a fee for a service, or a conditional refund. A written forfeiture clause is not automatically valid in every case: consumer terms are subject to transparency and unfair-terms controls. Ask for a review if the agent can retain everything regardless of the work done or the reason for withdrawal. Articles 80–83 of the consolidated Consumer Act, accessed 2.11.2026.
The Collado Villalba award was about a rental and the evidence in that case. It does not settle your purchase reservation. If you need an exit for financing, registry discrepancies or an unsuitable planning result, negotiate it expressly, specifying the evidence and notification deadline. If the agent sells you a separate remote service, ask your adviser to check any applicable cancellation rights for that service rather than assuming they decide the property agreement.
Checks before you pay
- Land Registry extract (nota simple). The ordinary online extract from the Spanish Association of Registrars (Colegio de Registradores) is advertised at €9.02 plus VAT per property for the ordinary online service. Official Registrars of Catalonia leaflet, accessed 2.11.2026. Check the owner's name, mortgages and charges, and the description. See nota simple.
- Who the seller is. Compare the registered ownership with the proposed seller and check any representative's authority. For an inheritance, establish who received the property and who must participate; for a company, who can bind it. A familiar commercial brand does not answer this.
- The agent's mandate. Ask to see the owner's written instruction to the agent (hoja de encargo or nota de encargo) with the asking price. A marketing instruction is not necessarily authority to accept offers or collect money on the seller's behalf. Article 1259 CC, accessed 2.11.2026.
- Regional agent registration. Check the actual regional rules:
- Catalonia: the register is mandatory. The official procedure describes professional competence, liability insurance and a guarantee. It provides an exception to public premises where services are supplied exclusively remotely. Start at the Generalitat's procedure and register links, accessed 2.11.2026. - Valencia region: Article 4 of Decree 98/2022 makes the register mandatory. The current Generalitat procedure 22848 provides registration and access to the register search. The High Court annulled several requirements, including specified guarantee and insurance amounts, according to the official judiciary notice. Check registration and the actual policy rather than copying old coverage tables. Official decree, accessed 2.11.2026. - Balearic Islands: registration is voluntary under additional provision 14, paragraphs 1 and 3, of Law 3/2024 as currently consolidated. Agents applying for registration must maintain the guarantee for money received and provide its identifying details under paragraph 9. Absence from this voluntary register does not automatically mean illegal trading, and you should not assume all agents have the same cover. Full current law, accessed 2.11.2026.
- The account. Verify who receives the funds and on whose behalf. Reject an employee's personal account without a clear contractual explanation.
- If it is land: the planning status. Check the land classification and constraints on the regional planning viewer or through the official explanation of the SIU system, accessed 2.11.2026. Confirm the applicable planning and intended use with the municipality before reserving. A deposit lost because the plot turns out to be protected rustic land is money you did not need to risk.
Paying from abroad without being scammed
- Confirm the IBAN by phone, on a number you found yourself (the agency's website, the regional register), not one in the email. Use an independently obtained contact to confirm a change of payment instructions.
- Pay by bank transfer from an account in your name, with a reference that identifies the property and the document date. The cash prohibition applies to operations at or above €1,000 where a party acts as a business or professional. The €10,000 threshold requires an individual payer who proves foreign tax domicile and is not acting professionally. It applies to the operation; splitting payments does not avoid it. Tax Agency, Article 7 Law 7/2012, accessed 2.11.2026.
- Keep the transfer receipt and the signed document together. Add the offer, acceptance and correspondence to the same folder.
- Language. Ask for a translation you can review. If you sign two language versions, agree how discrepancies will be resolved; do not assume one language automatically prevails.
- NIE. Ask the notary or adviser what identification and tax details are needed for your stage of the transaction, and start the relevant application early. See NIE for foreign buyers.
The arithmetic
Hypothetical budgeting example, not a real plot or a statutory percentage: price €60,000, agreed reservation €3,000 (5%), agreed arras at 10% = €6,000.
- Reservation credited to the arras: at arras signing you pay another €3,000; total paid €6,000.
- Separate agreed fees of €3,000 plus €6,000 arras: total advanced €9,000, or 15% of the price. Silence alone does not entitle the agent to turn your reservation into a fee; request an explicit breakdown.
- Seller accepts, signs penitential arras, then withdraws: owes you double the arras, €12,000, if the reservation was part of the arras.
- You withdraw after penitential arras: you lose €6,000. Withdraw before the seller accepts, and what you lose depends on the reservation form; with a refund clause for non-acceptance, nothing.
What the form must say
- The parties: you, the agency (with its regional registration number if there is one), and the owner as shown in the nota simple.
- The property: address or rural place name, cadastral reference, Land Registry number.
- Your offer: price, payment terms, target dates for arras and completion.
- The sum and its nature: paid "as a deposit" (or "on account of the price" if accepted by the seller or an authorised representative), and not as agency fees.
- Who holds it, and in which account.
- The seller's deadline to accept in writing, and the refund deadline if not.
- What happens on acceptance: credited to the arras and the price.
- The conditions that let you recover it: registry extract as expected, mortgage approval, planning report, no planning enforcement proceedings.
- What happens if you withdraw without cause.
- Evidence of the seller's acceptance and any representative's authority.
If the money does not come back
- Assemble the documents and claim in writing. Attach the signed form, transfer proof, acceptance or its absence, and correspondence. State the clause relied on and the amount requested, and retain delivery evidence.
- Contact the appropriate consumer service. Ask the municipal consumer information office (OMIC) or regional service which complaint form or channel applies to the business. Filing an administrative complaint is not the same as obtaining a payment order.
- Check arbitration eligibility. Consumer arbitration is voluntary, and a valid arbitration agreement leads to a binding, enforceable award. It concerns eligible consumer-business disputes, not every disagreement between private buyers and private sellers. The current regulation is Royal Decree 713/2024, accessed 2.11.2026.
- Identify the responsible party before suing. If agent and seller point at one another, give your lawyer the form and payment details. An account holder is not automatically the only or correct defendant, and joint liability should not be assumed.
- Prepare the court route and any preliminary negotiation. Organic Law 1/2025 generally requires prior dispute-resolution activity for civil claims, subject to exceptions. Have your adviser check and document the requirement for your claim rather than assuming an informal complaint is enough. Article 5 LO 1/2025, accessed 2.11.2026.
- Check a guarantee if one exists. For registered Balearic agents, additional provision 14 paragraph 9 requires disclosure of insurer or financial institution and guarantee reference. Verify coverage, beneficiary, validity and claim conditions before relying on recovery from it. Law 3/2024, accessed 2.11.2026.
Making a condition that can actually be checked
A useful condition links your purchase purpose to a document, an outcome and a deadline. "Subject to checks" leaves too much unresolved. If you intend to build a home, identify the municipal planning document that must confirm the intended use. If you need a mortgage, specify which lender response counts and when it must be supplied. These are instructions for the person reviewing your agreement, not ready-made clauses guaranteed to work in every case.
Read the proposed form twice. First, assume everything goes ahead: who accepts, when, how the reservation is credited to the next payment and who issues a receipt. Then assume the planning response is late or unsuitable: who receives your notice, what evidence you attach and when repayment follows. If those two readings produce different answers for you and the agent, fix the wording before transferring.
Save the advert, brochure and plan accompanying your offer. For land, identify whether you are reserving an entire registered property, a cadastral parcel or a portion awaiting subdivision. Do not allow the marketing plan and the reservation to describe different objects. Bring that discrepancy to your lawyer or notary before promising an arras date.
The condition also needs a workable timetable. Before undertaking to produce a municipal report within five days, find out how it is requested and when it can be issued. Agree in advance what happens if the answer is delayed: an extension, repayment or another expressly stated result. This turns an administrative delay into a defined contractual event rather than an argument over whether you withdrew.
For a remote purchase, appoint one person to keep the document set consistent. Send the adviser the actual signed version, not an earlier draft, together with any email changing a date or price. Keep an independently checked contact for the account holder. The practical objective is that someone can reconstruct exactly what was offered, accepted, paid and later requested without relying on a phone conversation.
What our report shows, and what it does not
If the reservation is for land, a TerrenoCheck report on the parcel shows, before you pay, the land classification, the constraints (watercourses, flood zones, drove roads, protected areas, roads), the Catastro parcel on aerial imagery and the source and date of every map. Use it to decide whether the offer deserves a deposit and to write specific conditions into the form. It does not check ownership or charges (that is the nota simple), does not review the reservation document, and is not legal advice or a valuation.
