How do you establish who actually owns the house?
A relative showing you around may have inherited a share without owning the whole house. Keys and paid bills do not establish authority to sell. Your lawyer should trace ownership from the deceased to the people selling.
Aceptación de herencia means acceptance of the inheritance. Partición is division of the estate; adjudicación is allocation of particular assets or shares. Under Spain's general Civil Code, a valid partition gives heirs ownership of their allocated assets. Allocation in shares leaves several owners. If one receives the whole house, the others need not sign a later sale merely because they were heirs.
Acceptance need not always be notarised: it can be express or inferred from legally relevant acts. Registration has separate requirements. A will alone does not ordinarily establish who receives individual assets, although certain sole-heir cases have a documentary exception. Have the notary confirm which documents this estate requires.
The succession rules here use Spain's general Civil Code. Regional or foreign law may govern. Vecindad civil, the status connecting a person to Spanish civil-law systems, differs from tax residence.
Whose signatures are needed for a sale of the whole property?
In an ordinary agreed sale, every owner must convey their interest personally or through a valid representative. A majority cannot convey a dissenter's share. Check for other rights too, particularly usufruct.
Suppose two siblings each own half. Both must convey their interests for you to buy the whole house. If the contract offers one sibling's half, photographs showing the entire house do not enlarge the right you acquire.
Watch for usufructo, a right to use and enjoy property owned by somebody else. Nuda propiedad means bare ownership, subject to that right. A bare owner cannot alone give you full ownership free of somebody else's usufruct. Its holder must dispose of the relevant right, or its extinction must be proved. If the usufructuary has died, obtain the evidence and arrange cancellation of the right in the Registry. Also require a tax review and supporting documents for consolidación del dominio, the merging of bare ownership and usufruct into full ownership.
A surviving spouse may have rights under the matrimonial property regime. If gananciales, a community-property regime, applied, distinguish its liquidation from the inheritance. The whole house may not belong to the estate.
Check the seller's own marriage too. Under the general Civil Code, inherited assets are separate property, but disposing of the family home requires both spouses' consent or judicial authorisation. A sale for a minor, or by a court-appointed representative for an adult needing legal support, may also require judicial authorisation. Resolve this before setting a completion date.
Which documents should your lawyer match together?
Request the death certificate, certificado de últimas voluntades, the certificate locating the deceased's will, and an authorised copy of that will. If there was no will, ask for the declaration identifying the heirs. The last-wills certificate is not a document allocating the house to the person selling it.
Compare the document showing who received this property with a recent nota simple, the Land Registry's informational extract. Check the property, owners' identities and shares, including retained rights and restrictions. This extract is informational, not an exhaustive tax clearance. Acceptance of an estate or payment of inheritance tax does not cancel other property charges.
If a sibling says they will sign for relatives abroad, request the power of attorney before paying. A general authority to administer assets does not itself authorise a sale. Have the notary check that the powers cover the proposed acts, including outstanding inheritance steps where needed. A promise that absent owners will approve later leaves a gap in your purchase arrangements.
Under the general Civil Code, if a person entitled to inherit dies without accepting or rejecting, that right passes to their heirs. Check this further succession; their branch of the family cannot simply be omitted.
Does a foreign estate need a different approach?
Yes. For deaths on or after 17 August 2015, the EU succession regulation generally points to the deceased's habitual residence at death, subject to exceptions, and allows a choice of nationality law in a disposition on death. The house being in Spain does not by itself establish who inherits or who has power to sell.
Ask your lawyer and the Spanish notary to establish the applicable law and the documents proving the relevant authority. A European Certificate of Succession can help establish heirs' rights, asset allocations or an estate administrator's powers. It is optional and does not replace tax evidence. A foreign executor's title alone does not establish authority for this sale. Send foreign documents to the notary before agreeing the deposit deadline. Ask which translations, apostilles or legalisation steps are required and which exemptions apply. Documents issued in a Member State under the succession regulation require no legalisation or equivalent formality.
Can you buy while the Registry still names the deceased?
If the Registry still names the deceased, the inheritance must be proved and the chain of title maintained. This differs from a property that has never been registered, which needs first registration.
Consecutive inheritance and sale deeds may be possible, followed by coordinated submission to the Registry. Missing inheritance documents and tax filings still need attention. A seller's registered title is easier to check before committing. For coordinated completion, have the file reviewed beforehand and appoint someone to follow every submission.
Agree what happens if missing or defective documents hold up registration. If you need a mortgage, obtain the lender's agreement to the proposed title arrangements before fixing the purchase deadline. The seller cannot give that confirmation on the bank's behalf.
If the property itself has never been registered, inmatriculación, first registration, has separate requirements. An IBI property-tax receipt or cadastral entry does not replace the registrable title and statutory checks. Your lawyer needs to assess that route before you pay for an assumed routine change of owner.
There is no current general two-year waiting period for inherited-property sales. The former article 28 of the Land Registry Act was removed with effect from 3 September 2021. Its removal does not rule out a particular inheritance dispute.
What inheritance-tax evidence should the sellers provide?
Impuesto sobre Sucesiones y Donaciones, or ISD, is inheritance and gift tax. In an ordinary inheritance, the beneficiary is the taxpayer and the tax accrues at death. Later acceptance does not restart the filing clock.
The state filing period is six months, with an extension of the same length available on request within the first five months. Interest runs after the original period expires. Confirm the applicable procedure. This is a tax deadline, not a deadline to sell the house.
Request the filed returns covering the people acquiring this property, their submission receipts and proof of payment, or evidence of zero liability, exemption or an expired tax limitation period. Check the property appears in the file. A statement that the children owed nothing does not establish that the required return was filed.
Regional rules affect the calculation. Have the adviser identify the competent authority and applicable rules using the deceased's and beneficiaries' circumstances. For Andalucía, Comunitat Valenciana, Región de Murcia, Cataluña, Illes Balears and Canarias, obtain the actual calculation for this succession rather than assuming a nationwide family exemption. Spain's tax agency, AEAT, may administer a cross-border case while regional rules remain available.
If the sellers claim the tax is time-barred, request a review of dates and any action interrupting limitation. The general four-year period does not simply start at death. A contractual statement that old taxes have expired is insufficient.
Why are there separate municipal tax files for inheritance and sale?
Plusvalía municipal, formally IIVTNU, taxes increases in urban land value. Inheritance and the later sale are separate potential taxable events. On inheritance the beneficiary is the taxpayer; on a sale it is the seller. The receipt for the inheritance is not the receipt for your purchase.
The inheritance declaration period is six months, extendable on request to one year. For the sale it is thirty working days. An ISD extension does not handle the municipal filing. Request the inheritance's municipal file and agree the arrangements for the sale with the relevant ayuntamiento, or town hall.
Land treated as rustic for IBI purposes is outside this tax. A country-house description in an advertisement does not settle the fiscal treatment of its land. Where there has been no increase in land value, the interested party must declare the transfer and provide the acquisition and disposal titles supporting that result. A quick resale is not automatically tax-free: the law also addresses periods shorter than a year. A proven actual increase below the objective tax base can be used on request.
Municipal ordinances determine inheritance relief and its conditions. Ask whether any conditions attached to relief already claimed need further attention. Budget separately for your acquisition using the guide to purchase costs.
As buyer, you must notify the town hall of a transfer subject to municipal land tax within thirty working days of the tax becoming due. Confirm who will submit this communication and obtain its receipt. It can remove the registration block for this tax, but does not replace the liable person's tax declaration or payment. A Registry submission receipt does not prove registration is complete.
What does buying a proindiviso share actually give you?
Proindiviso means undivided co-ownership. Buying 50% does not itself give you exclusive ownership of any rooms, orchard or separate plot. A family's sketch dividing use does not create an independent property. Have your lawyer identify the precise right offered.
Under the general Civil Code an owner can sell their allocated share, but the other owners may have retracto de comuneros, a right to replace the outside buyer on statutory terms. The statutory period is nine days from registration or, failing that, knowledge of the sale. Have the lawyer establish the relevant trigger; do not assume an informal letter before sale removes every risk.
Buying rights in an estate before its division is different again. It does not guarantee allocation of the advertised house. Co-heirs have a separate substitution right, with one month from being informed of the sale. Ask whether you are buying an allocated property share or a right in an estate still awaiting division.
Catalonia has its own rules: generally one month for pre-emption after formal notice of the proposed price and terms. Missing notice or a sale on different terms can allow substitution, with three months from knowledge of the sale and its circumstances or from registration. Have the lawyer establish the relevant trigger and check any valid exclusion or waiver.
Ending co-ownership can require division proceedings. Under the general Civil Code, an essentially indivisible asset is sold and the price distributed unless allocation with compensation is agreed. A quick exit or recovery of your investment is not assured.
What should be settled before you pay the purchase deposit?
Arras are purchase-deposit arrangements whose consequences depend on the agreed terms. Review title and taxes before fixing the deed date. Separate inheritance work from your purchase expenses and agree who pays each cost. Obtain quotes and a timetable for the missing documents; there is no single inheritance-regularisation fee.

Establish who lives in the house and on what basis. Request tenancy agreements. Have your lawyer check, using the lease date and applicable rules, whether a tenant can buy ahead of you or replace you. Do not assume the sale ends a tenancy. Agree when possession and keys will be delivered, and what happens if promised vacant possession is not delivered. Even if all owners sign, the house may still be occupied.
Have the arras contract specify the registered property, the right being bought and who can bind the sellers. List the outstanding evidence. If allocation, an authorisation or registration remains pending, agree a deadline and a full refund if the condition is not met. Include money already paid to the agency and have the recipient accept the refund terms.
If you expressly agree arras penitenciales, the buyer can withdraw by forfeiting the deposit and the seller by returning double. Agree separate refund conditions for unfinished inheritance steps. Another sibling's signature does not transfer an absent owner's share. Your lawyer should tailor the conditions to the transaction and applicable law.
Do not pay the deposit yet if:
- an owner, usufructuary or necessary representative is still unidentified;
- the advertisement offers the whole house but the seller only establishes a share or hereditary rights;
- nobody explains how the inheritance and your purchase will connect in the Registry;
- missing tax evidence is to be resolved using your deposit without agreed safeguards;
- occupation or tenancy rights conflict with the possession you have been promised;
- the contract deadline arrives before outstanding documents or authorisations can be resolved.
